1. Parties and Definitions

This instrument regulates the relationship between:

Set of web systems, desktop applications and APIs that make up StageHex

Service

Functionalities offered by the Platform, including design and export tools

Account

User's personal registration on the Platform, protected by access credentials

User Content

Projects, settings and data created by the User within the Platform

Subscription

Recurring billing model for access to premium features

2. Purpose of Agreement

StageHex is a professional Software as a Service (SaaS) platform designed for professionals and companies in the event production sector, offering:

• Stage Design: Tools for designing stages and event spaces
• Lighting Design: Configuration and patching of lighting equipment
• Rigging & Truss: Planning of structures and rigging systems
• Technical Assets: Management of fixtures and equipment library
• MA2/GDTF Export: Export to professional lighting consoles
• 3D Visualization: Pre-visualization and export to 3D software

The scope of available services varies according to the contracted plan (Trial, Basic or Pro). Features may be added, modified or discontinued with prior notice.

3. Registration and Account

3.1 Registration Requirements

• Be over 18 years old, or over 16 years old with authorization from legal guardians
• Provide true, complete and updated information
• Use a valid email address under your control
• Fully accept these Terms of Service and the Privacy Policy

3.2 User Responsibilities

• Maintain confidentiality of access credentials (email and password)
• Do not share account with unauthorized third parties
• Immediately report any unauthorized or suspicious use
• Be responsible for all activities performed on your account

3.3 Device Control

Your license may be linked to a limited number of devices, according to the contracted plan. StageHex reserves the right to monitor active devices to ensure compliance with licensing terms.

4. Acceptable Use

Allowed

• Professional use according to contracted plan
• Creation and export of personal projects
• Commercial use of created projects
• Integration with compatible software
• Backup of your own projects

Prohibited

• Reverse engineering or decompilation
• Bypassing license or security mechanisms
• Sharing credentials or sublicensing
• Redistributing protected library assets
• Use for illegal or fraudulent purposes
• Intentionally overloading servers
• Automating access without authorization

5. Intellectual Property

5.1 StageHex Property

The following are exclusive property of StageHex and its licensors:

• Source code, software and platform technologies
• Trademarks, logos and visual identity
• Library of fixtures and technical assets
• Documentation, interfaces and user experience

5.2 User Property

You retain full ownership of all projects, settings, layouts and creative content you create using the platform. StageHex claims no rights to your creative work.

5.3 Limited License

By using the platform, you receive a limited, non-exclusive, non-transferable and revocable license to access and use the services in accordance with these Terms. This license does not confer any ownership rights to the software or its components.

6. Subscriptions and Payments

6.1 Billing Model

• Values, frequency and features of each plan are informed at the time of contracting
• Charges are automatically processed by Stripe at the beginning of each period
• Taxes may be added according to applicable legislation
• Prices may be changed with 30 days prior notice

6.2 Trial Period

The 7-day free trial period allows you to test platform features without charge. At the end of the period, access will be suspended until contracting a paid plan, without automatic billing.

6.3 Payment Failure

In case of billing failure, we will attempt to process payment again. After unsuccessful attempts, access to paid features may be suspended until regularization. Projects remain stored for up to 90 days after suspension.

7. Cancellation and Refund

7.1 User Cancellation

• You can cancel your subscription at any time through the Dashboard
• Access remains active until the end of the already paid period
• There are no additional charges after cancellation

7.2 Right of Withdrawal (Consumer Protection Code)

According to Art. 49 of the Consumer Protection Code, you have the right to withdraw from the contract within 7 (seven) consecutive days from the subscription date, without the need for justification.

To exercise this right, contact us via email support@stagehex.com. The refund will be processed within 10 business days.

7.3 Exceptional Refunds

Outside the withdrawal period, refunds may be analyzed on a case-by-case basis in exceptional situations, such as persistent technical failures attributable exclusively to StageHex. Refunds do not apply in cases of violation of these Terms.

8. Service Availability

8.1 Service Level

We will strive to keep the platform available 24/7, but we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance when possible.

8.2 Permitted Interruptions

StageHex will not be responsible for interruptions resulting from:

• Scheduled or emergency maintenance
• Third-party infrastructure provider failures
• Cyber attacks or force majeure events
• User connection problems

9. Limitation of Liability

Important Notice: StageHex is a planning support tool. The information generated by the software does not replace structural calculations, technical reports, engineering opinions or technical responsibility (ART/RRT) of qualified professionals.

9.1 Disclaimer of Warranties

To the maximum extent permitted by applicable law, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose or non-infringement.

9.2 Limitation of Damages

Under no circumstances will StageHex be liable for:

• Indirect, incidental, special or consequential damages
• Lost profits or loss of business
• Technical, structural or safety decisions based on the software
• Errors in productions or live events

In any case, our total liability will be limited to the amount paid by the User in the last 12 months.

10. Indemnification

You agree to indemnify, defend and hold harmless StageHex, its directors, employees, agents and partners from any claims, damages, obligations, losses, costs or expenses (including attorneys' fees) arising from:

• Your use of the platform in breach of these Terms
• Violation of third party rights
• Content you submit to the platform
• Violation of any applicable law or regulation

11. Suspension and Termination

11.1 Suspension by StageHex

We may suspend or limit your access, with or without prior notice, in case of:

• Violation of these Terms of Service
• Fraudulent or illegal activities
• Persistent default
• Request from competent authority
• Risk to platform security or other users

11.2 User Termination

You can close your account at any time through Dashboard settings or by requesting via email. After deletion, your data will be treated according to the Privacy Policy.

11.3 Effects of Termination

• Access to services will be immediately revoked
• Projects remain stored for 30 days for recovery
• Previous payment obligations remain due
• Intellectual property and liability limitation clauses survive

12. Changes to Terms

We may update these Terms periodically. Substantial changes will be communicated with a minimum advance notice of 15 days through:

• Email to the registered address
• Platform notification
• Publication on this page

Continued use after changes take effect constitutes acceptance of the new terms. If you do not agree, you may cancel your account without penalties before they take effect.

13. Applicable Law and Jurisdiction

Applicable Law: These Terms are governed by the laws of the Federative Republic of Brazil, including the Civil Code (Law 10.406/2002), Consumer Protection Code (Law 8.078/1990), Civil Rights Framework for the Internet (Law 12.965/2014) and LGPD (Law 13.709/2018).

Jurisdiction: The jurisdiction of the consumer User's domicile is elected, or, in its absence, the jurisdiction of StageHex's headquarters, to settle any disputes arising from this instrument, with express waiver of any other, however privileged it may be.

Dispute Resolution: Before initiating any judicial procedure, the parties agree to attempt to resolve the dispute amicably through StageHex support channels.
