This Software License Agreement ("EULA") constitutes a legal agreement between you ("Licensee" or "User") and StageHex Tecnologia LTDA ("Licensor" or "StageHex"). By installing, copying or using the StageHex software, you agree to be bound by the terms of this agreement. If you do not agree, do not install or use the software.
1. Definitions
- Software
- The StageHex computer program, including desktop application (StageHex Cloud), web platform (StageHex Manager), APIs, libraries, plugins and associated documentation.
- License
- The right to use granted by this agreement, subject to the terms and conditions set forth herein.
- Licensee
- Individual or legal entity that accepts this agreement and receives the license to use.
- Licensor
- StageHex Tecnologia LTDA, holder of rights over the Software.
- Authorized Device
- Computer or equipment registered and approved for running the Software.
- Plan
- Subscription tier (Trial, Basic or Pro) that defines the scope of the license.
2. License Grant
Nature of License
StageHex grants the Licensee a software license that is:
- Non-exclusive: Other users may have similar licenses
- Non-transferable: Cannot be assigned or sold to third parties
- Revocable: May be terminated according to this agreement
- Limited: Restricted to the scope of the contracted plan
- Time-limited: Valid while the subscription is active
The license does not constitute a sale of the Software nor does it transfer intellectual property. The Licensee acquires only the right to use in accordance with the terms of this agreement and the contracted plan.
3. Scope and License Limitations

3.2 Commercial Use
The license permits commercial use of projects created with the Software. You may use exported files (patches, 3D visualizations, reports) in commercial productions without additional restrictions. Ownership of created projects remains with you.
4. Usage Restrictions
Expressly Prohibited
- Reverse Engineering: Decompile, disassemble or attempt to extract source code
- Modification: Alter, adapt, translate or create derivative works
- Redistribution: Copy, distribute, sell or sublicense the Software
- Removal of Protections: Bypass license mechanisms, DRM or security
- Account Sharing: Transfer credentials or allow third-party access
- Out of Scope Use: Use features not included in the contracted plan
- Rental or Leasing: Make the Software available for use by third parties
- Public Benchmarking: Publish performance tests without authorization
4.1 Asset Library
The library of fixtures, 3D models and technical assets provided by StageHex is licensed exclusively for use within the platform. It is prohibited to extract, redistribute or use these assets outside the context of the Software.
5. Intellectual Property
5.1 Reserved Rights
The Software, including all its components, is protected by:
- Copyright Law (Law 9.610/1998)
- Software Law (Law 9.609/1998)
- Industrial Property Law (Law 9.279/1996)
- International intellectual property treaties
5.2 Ownership
All rights, titles and interests in the Software, including source code, interface, design, algorithms, documentation, trademarks and trade secrets, remain the exclusive property of StageHex Tecnologia LTDA and its licensors. No ownership rights are transferred by this license.
6. Device Control
6.1 Activation and Registration
- The Software must be activated on each device through online authentication
- Each device receives a unique identifier (Device ID) linked to your account
- The number of active devices is limited by the contracted plan
- Devices can be managed through the Dashboard
6.2 Device Replacement
You may deactivate old devices and activate new ones, respecting the plan limit. Frequent replacements may be monitored to detect misuse. In case of formatting or hardware replacement, contact support to reactivate.
6.3 Online Validation
The Software requires periodic internet connection to validate the license. Extended offline periods may result in functionality restrictions until reconnection.
7. Updates and Maintenance
7.1 Update Policy
- Security updates and fixes are provided automatically
- New features may be released during the subscription period
- Some updates may be mandatory to continue using the Software
- Older versions may cease to receive support after new releases
7.2 Software Changes
StageHex reserves the right to modify, discontinue or change Software features at any time. Significant changes will be communicated with reasonable advance notice. Discontinuation of essential features may result in proportional credit or cancellation option without penalties.
8. Warranties and Disclaimers
Disclaimer of Warranties
The software is provided "as is" and "as available" , without warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or performance.
8.1 Recognized Limitations
StageHex does not warrant that:
- The Software will function uninterrupted or error-free
- Results obtained will be accurate or reliable
- Defects will be corrected within a specified timeframe
- The Software will meet all specific needs of the Licensee
8.2 Important Notice for Productions
StageHex is a planning and support tool. Data and calculations generated by the Software do not replace structural analyses, technical reports, engineering opinions, ARTs, RRTs or any technical responsibility of qualified professionals. Safety decisions in productions and events must always be validated by qualified professionals.
9. Limitation of Liability
9.1 Exclusion of Damages
Under no circumstances shall StageHex, its directors, employees, agents or licensors be liable for:
- Indirect, incidental, special, punitive or consequential damages
- Loss of profits, revenue, data, savings or business opportunities
- Business interruption or reputation damage
- Costs of procurement of substitute goods or services
- Damages arising from events, productions or decisions based on the Software
9.2 Maximum Limit
StageHex's total liability for any claim arising from this agreement shall be limited to the greater of: (a) the amount paid by the Licensee in the last 12 months; or (b) R$ 500.00 (five hundred reais). This limitation applies regardless of the legal theory invoked.
10. License Termination
10.1 Automatic Termination
This license will be automatically terminated if:
- The subscription expires or is cancelled
- There is persistent default
- Unauthorized use or violation of terms is detected
- The Licensee requests account deletion
10.2 Effects of Termination
- All rights to use the Software will be immediately revoked
- The Licensee must cease any use and uninstall the Software
- Locally saved projects remain with the Licensee
- Cloud data will be retained for 30 days for recovery
- Intellectual property and liability limitation clauses survive
11. Audit and Compliance
11.1 Verification Rights
StageHex reserves the right to monitor Software use to verify compliance with this agreement, including:
- Number of active devices
- Usage patterns and simultaneous accesses
- Attempts to bypass protection mechanisms
- Improper credential sharing
11.2 Consequences of Violation
Violations of this agreement may result in immediate suspension of access, license termination, retroactive billing for improper use and applicable legal actions, including criminal measures provided for in the Software Law (Law 9.609/98).
12. General Provisions
12.1 Entire Agreement
This agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties, superseding any prior understandings, verbal or written.
12.2 Severability
If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 Waiver
Failure to exercise any right shall not constitute a waiver of that right or any other rights.
12.4 Governing Law and Jurisdiction
This agreement is governed by the laws of the Federative Republic of Brazil. The jurisdiction of the consumer Licensee's domicile is elected to settle any disputes.
12.5 Amendments
StageHex may modify this agreement at any time. Substantial changes will be communicated 15 days in advance. Continued use after changes constitutes acceptance.
